对我国国有企业MBO财务问题的思考

摘   要
     MBO，即管理层收购，是20世纪70、 80年代流行于欧美国家的一种企业收购方式，早在西方得到了广泛的研究。MBO的核心思想就是公司的管理层利用自有资金或通过负债融资及股权交换等其他一些经济手段，获得公司的所有权和控制权，并获得预期收益的一种收购行为。我国在二十世纪末为解决国有资产问题，吸取了西方的先进管理经验，引进了MBO的收购方式。但是这项政策在我国实际操作中，多次被叫停，并引发了许多社会问题，如产权不明确、国有资产流失等。国家非常关心国有企业在MBO过程中产生的问题，并希望通过制度的完善达到国有企业的完美改革。
本文首先介绍MBO的理论概述，以及MBO在我国国有企业中产生的影响。然后指出国有企业在MBO的过程中产生的一系列问题，尤其是财务上的问题。最后分析出一些解决国有企业MBO问题的办法，并展望MBO在我国未来的发展情况。

Abstract

MBO came into being in 1970s; it has been popular in the western countries since its birth. MBO is the way to buy the company by the managers.  The managers want to be the stockholders and make enough earning for the company. For solving the assets problem, China used the way of MBO in the State-owned Company. But when MBO was used in the State-owned Company, there were many tough problems happened. 
This article begins with the origin of the MBO theory, the concept and principium of MBO, and the effect in the State-owned Company. After that, introduce and analyze the problems of MBO in the State-owned Company, especially the problem of the finance. Last, find a way to solve the problems and expect the future of the MBO in China.
