技术贸易中限制性条款研究

摘  要

 随着现代科学技术的高速发展，技术已经显示出巨大的经济价值，技术商品的贸易活动也日趋频繁。技术贸易不同于普通商品贸易，由于技术的时间性、地域性、无形性决定了技术贸易中的信息不对称和市场的非完全，容易引起限制性条款的出现。而限制性条款旨在通过滥用或谋取滥用市场力量的支配地位限制进入市场或以其他方式不适当地限制竞争，这严重影响了世界技术贸易及各国经济的发展。各国纷纷对此进行法律规制，但是不同国家对限制性条款的规制不一样。我国在限制性条款的规制中仍然存在着很多问题需要解决和改善。

THE RESEARCH OF RESTRICTIVE CLAUSES IN TECHNOLOGY TRADE

ABSTRACT

 With the rapid development of modern science and technology， the technology has showed a great value in economy. The activities of technology trade have become more and more frequent. Technology trade  is different from the trade of general merchandise. The time-limited， territory， invisible character of technology transfer lead to the asymmetry of information and market incompleteness between the parties in technology trade， which is easy to bring forward restrictive clauses. Restrictive clauses are in the purpose of restricting the accessing into market or restricting the competition unduly， through abusing or exploring the abuse of the dominance of market， which has affected the technology trade and the development of world’s economy seriously. Most countries in the world begin to make legal control for that. But， different country has a different control for restrictive clauses. Our country still has a lot limitations when we make legal control of restrictive clauses， which is need to be solved and improved.
