浅析企业并购中的财务风险与对策

摘要
 企业并购重组是伴随经济全球化不断深入而形成的一种必然趋势，也是企业管理所涉及到的一个全新内容。同时，并购又是一项高风险的资本经营活动。因此，加强企业并购的财务风险管理具有重要的现实意义。
 本文首先对企业并购、企业并购财务风险进行了界定；其次从定价风险、流动性风险、融资风险、偿债风险四个方面分析了我国企业并购中财务风险存在的问题；最后针对企业并购中财务风险存在问题，提出了如何从定价风险、流动性风险、融资风险、偿债风险方面进行相应的防范。

The Research on the Reason and Countermeasure of Financial Risk in Enterprise Merger and Acquisition

Abstract
 The Re-organization and merger of enterprise becomes a certain trend with the growing of economic globalization. Meanwhile, merger are also the capital administration activity with high risk. So reinforce the management of financial risk of merger is very importantin practice.
 This article first acquisitions, mergers and acquisitions of financial risk were defined; Second, from the pricing risk, liquidity risk, financial risk, insolvency risk analysis of four aspects of mergers and acquisitions in the financial risk of a problem; Finally, mergers and acquisitions in the financial risk problems, the question of how from the pricing risk, liquidity risk, financing risk, debt and make the appropriate risk prevention.
